1. 1. Primary distributor may appoint dealer / retailer commandeering the points mentioned in their agreement are

   3. The first party shall appoint/ may appoint- dealership in consultation with the 2^nd Part except exclusive outlet owned by Kanyaka farm. The first party shall not appoint any distributor in any mutually set areas party and 2^nd The appointment by first party is limited only and up to appointment of dealership with consultation with 2^nd party.

AND WHEREAS the Second Party intending to carry on a business of retail outlet of the said manufactured articles, approached the First Party and the First Party agreed the same;

NOW THIS INDENTURE both the parties entered into this agreement under the following terms and conditions –

1. 1. It is to inform to all the retailers and distributors that if anyone wishes to distribute their product along with the crates, they should deposit a security money of 450/crate. It is compulsory to deposit the security amount, failure to which, they are subjected to return the crates after unloading the product and can further distribute the product at their own level.
   2. A retailer/distributor should only return the product if it has any manufacturing Company will consider the return of the product, only if whole batch or lot is having the same defect.
   3. All the distributors and retailers are requested to keep the records at their end, of the cash handed over to the drivers/transporters along with their signatures.
   4. If anyone wishes to place any special demand for some occasions, they may communicate in the group before 24 If they fail to inform under any circumstances, they should contact the management through mobile/telephone, for the availability of the product.
   5. Each of the distributors and retailers will be given a monthly target which they have to complete till the month If failed, necessary action will be taken against them.
   6. It is necessary for all the distributors and retailers to give their names on the website before 2:00 P.M for giving daily demands. User ID, Password and required training will be provided by the marketing
   7. Driver will hand over the product from the vans/ trucks to the distributor only after verification of the identity. Any further movement like unloading of products from the van/truck to the storage or cold room will not be done by the drivers. For this purpose, special labour should be appointed at the end of the distributors/retailors.
   8. If any distributor wishes to place an order for any product, he/she should make an order for the minimum order quantity of that product. If your order is beyond the minimum quantity, it should be at least the multiple of minimum order quantity of that product (For example, the minimum order quantity of rasgulla cans is 12 cans and the distributer wishes to purchase 20 cans, then he/she should place an order for at least 24 cans which is a multiple of the minimum order quantity)
   9. That the First Party / Manufacturer will supply and the agent shall sell the articles to be manufactured hereafter without any exception or reservation
   10. That the goods to be supplied by the First Party shall be sold by the agent strictly at the listed
   11. That, in case any portion of the goods remain unsold for over-days after supply and delivery, the agent can’t return the unsold articles to the First Party.
   12. The unsold product cannot return without any manufacturing
   13. That, the First Party during the continuance of this agreement shall enter with other agents for retail outlet as per customers demand in the sales agent’s
   14. That the agent cannot sell or encourage the sale of identical or similar products of other
   15. That if the agent violates the above-mentioned terms and conditions of this agreement in that event the First Party has fully right to cancel his agency and take back the articles and assets given by the First and take lawful action.
   16. The second party is required to deposit Rs 2, 00,000/- (Two Lakh) as Security
   17. The Payment for all the previous and present bills should be cleared within 48 hours of delivery of the goods i.t. payment of goods be cleared and full payment should be made within tomorrow and so on the payment cycle will be
